Terms of Service

1. Acceptance of Terms

By accessing or using the CargoPilot platform ("Service") operated by Suply Ltd. ("Suply", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Suply Ltd., a company registered in England and Wales, with its registered office at 20 Wenlock Road, London, United Kingdom.

2. Description of Service

CargoPilot is a cloud-based logistics intelligence platform that enables organisations to track containers and air freight, monitor vessel positions, receive real-time alerts, and manage supply chain data.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

You must notify us immediately at service@suply.ai if you suspect any unauthorised use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Transmit any harmful, offensive, or disruptive content.
  • Reverse-engineer, decompile, or disassemble any portion of the Service.
  • Resell or sublicense access to the Service without our prior written consent.

5. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, trademarks, and documentation, are owned by or licensed to Suply Ltd. Nothing in these Terms grants you any rights in the Service other than as necessary to use it in accordance with these Terms.

You retain ownership of all data you upload to the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and improve the Service.

6. Subscription and Payment

Access to certain features of the Service may require a paid subscription. Subscription fees are set out in your order form or pricing page and are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

We reserve the right to change our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Shipping data, vessel positions, and temperature readings are provided for informational purposes and may not be relied upon as the sole basis for operational decisions.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Suply Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) £100.

10. Indemnification

You agree to indemnify and hold harmless Suply Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we may delete your Customer Data after a reasonable retention period.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or via an in-app notification. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
